Get the upgrade! When installing, boot from dvd, don't enter cd-key and install, it will install as full version. Once installed enter your cd-key in windows.

Big poppa of correct, I have the upgrade and I did the no CD key install and then the upgrade, running 64 bit Home premium and it works just dandy.
Some better drivers for my Videocard, soundcard, and Keyboard would go a long ways to making me a happ camper though, but I have had zero issues with V64.
