upgrading from Newcastle 3500+ - i want dual core (939)

I'm upgrading from my current 3500+ (Newcastle)

It basically comes down to Opteron 165 vs. X2 4400+

I'd say i'm a pretty novice OC'er (got my 2.2 Newcastle to 2.4 ) but I'm willing to try something more advanced based on the guides and results I've read

aside from price (about $40 difference a/o now), which chip would you fellas recommend?

the board is an MSI Neo2 Plat.
2x 1GB Corsair XMS PC3200

nvm. just went ahead and bought an Opteron 175 and used some of the credit I had w/ Newegg to bring the price to about $110.
